Personal commercial licence
SkipZero Personal Commercial Licence
Effective 31 August 2026 · Version 2026-08-31.2
This SkipZero Personal Commercial Licence (the “Licence”) is an agreement between the seller identified in the applicable order confirmation or invoice (“Licensor”) and the individual or legal entity identified as buyer in that order or invoice (“Licensee”). It applies to the original source code, documentation, agent instructions, recipes and other proprietary materials supplied as SkipZero Starter, including its Founder, Starter or All-in delivery package (collectively, the “Starter”).
The “Order” means the applicable order confirmation, invoice or equivalent durable purchase record issued by or for Licensor. The Order identifies Licensor and Licensee, the purchased delivery package, transaction contact and other sale details. This Licence becomes effective when Licensor accepts the Order and first makes the purchased Starter available to Licensee (the “Effective Date”).
This is a proprietary licence, not an open-source licence. Third-party components remain under their own licences.
1. Licence grant
Subject to payment of the applicable Order and compliance with this Licence, Licensor grants Licensee a perpetual, non-exclusive, non-transferable, non-sublicensable, worldwide licence to:
- install, run, study and modify the Starter;
- use the Starter in an unlimited number of commercial or non-commercial products and services owned or controlled by Licensee (“End Products”);
- deploy, market, sell access to and provide services through those End Products; and
- allow Licensee's employees and individual contractors to access the source solely to develop or operate Licensee's End Products, provided they are bound by confidentiality and do not retain, disclose or reuse the Starter outside that work.
The licence is personal to the invoice holder. Affiliates, portfolio companies, unrelated founders and other legal entities require their own licence unless the Order or a written agreement signed by Licensor expressly says otherwise.
2. End Products and client work
An End Product must deliver material product-specific functionality or a service to its end users. Charging customers to use a SaaS or other End Product built with the Starter is permitted. Distribution of compiled client-side code technically necessary to operate an End Product is permitted.
Licensee may perform client work while remaining the licence holder and keeping the reusable Starter under its control. Transferring the Starter, a reusable starter copy or repository access to a client requires that client to obtain its own licence or that Licensor grants written permission. Delivery of an End Product must not make the Starter source available for extraction or reuse as a general template.
3. Restrictions
Licensee must not, directly or indirectly:
- sell, resell, share, publish, upload, give away, sublicense or redistribute the Starter or a substantially similar starter or template, in source or reusable form;
- provide access to the Starter repository or downloads to anyone except authorised personnel under Section 1.4;
- use the Starter as the material basis of a boilerplate, template, code-generation product, course download, repository bundle or competing starter offered to third parties;
- remove proprietary notices from the delivered Starter or misrepresent authorship;
- bypass licence, delivery or access controls;
- use one licence to supply reusable Starter copies to multiple clients or unrelated businesses; or
- use Licensor's trademarks, brand names, domains, testimonials or other brand assets except to truthfully identify compatibility where applicable law permits.
Nothing in this Licence prevents Licensee from independently implementing general ideas, patterns or know-how that are not protected expression and do not disclose or redistribute the Starter.
4. Ownership
Licensor retains all rights in the Starter not expressly granted. Licensee owns its original content, customer data, trademarks and modifications that are separable from the Starter. Ownership of modifications does not permit redistribution of the Starter or derivative reusable template components in breach of Section 3.
Licensor may use feedback without restriction, provided it does not disclose Licensee's confidential information or personal data.
5. Updates and delivery packages
An update delivered to Licensee is covered by this Licence unless it is accompanied by different terms. An Order includes updates only to the extent stated in the offer accepted at purchase. This Licence does not guarantee a particular update, feature, support period, community, release cadence or future compatibility.
Features, recipes, agent instructions and modules are limited to the delivery package identified in the Order. Access to one delivery package does not grant access to materials reserved for another package.
6. Provider accounts, credentials and operation
The Starter is supplied without Licensor's provider accounts, production credentials, domains or customer data. Licensee must create, own and configure its own accounts and credentials for services such as hosting, authentication, databases, payments and email. Licensee must not place secret keys in public source, client-side code, prompts, support requests or repositories accessible to unauthorised persons.
Licensee is responsible for its End Products, provider charges, configuration, backups, security, privacy, taxes, regulatory duties and production operation. Licensor does not become the operator, merchant of record, data controller or service provider for an End Product merely because that End Product uses the Starter.
7. Third-party software
Dependencies, fonts, icons and other third-party materials are licensed by their respective owners. Their licence notices and terms control those components. Licensee is responsible for reviewing them before distribution. The delivered THIRD_PARTY_NOTICES.md, dependency licence inventory and lockfile identify the reviewed dependency set for that release.
8. Confidentiality and security
Licensee must take reasonable measures to prevent unauthorised access or redistribution, including keeping source repositories private and revoking personnel access when work ends. Licensee must not include Licensor credentials, another buyer's materials or another person's data in an End Product.
9. Support
Support, if any, is limited to the scope and period stated in the Order or purchase offer. It does not include custom implementation, legal or tax advice, security certification, incident response or third-party provider support unless expressly agreed in writing.
10. Warranty and mandatory rights
To the maximum extent permitted by applicable law, the Starter is provided “as is” and “as available”. Licensor does not warrant that it is error-free, uninterrupted, suitable for a particular business, compliant in every jurisdiction or compatible with future third-party changes.
Nothing in this Licence excludes, restricts or modifies mandatory consumer rights, conformity remedies or liability that cannot lawfully be excluded. Any voluntary refund promise and statutory withdrawal information presented with the Order apply in addition to this Licence.
11. Limitation of liability
To the maximum extent permitted by applicable law, Licensor will not be liable for indirect, incidental, special, consequential or punitive loss, or loss of profits, revenue, data, goodwill or business opportunity. Licensor's aggregate liability arising from the Starter will not exceed the amount Licensee paid for the affected Order.
This limitation does not apply where prohibited by law, including liability that cannot be limited for fraud, wilful misconduct, death or personal injury, or mandatory consumer protection.
12. Term, refunds and termination
The Licence is perpetual for the version delivered, unless terminated under this Section. A full refund, a finally lost payment dispute, a fraudulently obtained Order or an uncured material breach terminates the licence for the affected Order and requires deletion of the Starter and buyer-only materials, subject to mandatory law and any written terms supplied at purchase.
A pending payment dispute may suspend delivery and update access while it is reviewed. If the dispute is finally resolved in Licensee's favour, access for that Order may be restored unless a refund or another independent termination ground applies.
Licensor may terminate for a material breach that Licensee fails to cure within 14 days after written notice, or immediately for intentional redistribution or deliberate circumvention of access controls where applicable law permits. On termination, Licensee must stop new use and delete retained copies of the Starter. Mandatory law and any agreed treatment of already deployed End Products prevail.
13. Order terms, governing law and disputes
The Order and the terms of sale presented before purchase identify Licensor, transaction contacts, governing law, dispute procedure and any mandatory consumer information. Those transaction terms govern payment, tax, delivery, refunds and disputes. This Licence governs permitted use of the Starter. If they conflict, a specifically negotiated written term signed by Licensor controls; otherwise this Licence controls source-use rights and the transaction terms control the sale, always subject to mandatory law.
Before litigation, the parties will attempt in good faith to resolve a written complaint through the contact stated in the Order. Any choice of law or forum remains subject to mandatory protections available to consumers in their place of residence.
14. General
If a provision is unenforceable, it will be limited to the minimum necessary and the remainder will stay effective. Failure to enforce is not a waiver. Licensee may not assign this Licence without Licensor's written consent. Licensor may assign it with the relevant business, subject to applicable law.
This Licence, the applicable Order and the terms of sale accepted with that Order form the complete agreement for the Starter, except for a separately signed agreement. Headings are for convenience only. The English version controls to the extent permitted by applicable law; any translation is provided for convenience.
15. Contact and notices
Licence, legal and support notices must be sent using the seller and contact details stated in the applicable Order, invoice or terms of sale presented at purchase. A notice from Licensee should identify the Order without including passwords, API keys, payment-card data or production secrets.
